Terms & Conditions

Our card acquiring, POS terminal and NexPOS software services are supplied under the merchant agreement or contract you sign with us (your “Agreement”). The Agreement sets out the fees, settlement, equipment, term and other conditions of those services. If anything in these Terms conflicts with your Agreement, the Agreement applies.

• Information on this website is general information about our services. It is not financial, legal or tax advice, and it is not an offer that you can accept. Products, features, pricing and availability can change, and what applies to you is what is in your Agreement or quote.
• You must not use this website unlawfully, submit false or misleading information, try to gain unauthorised access to it, disrupt it, or use automated tools to collect its content.
• We aim to keep the website available and accurate, but we do not promise that it will be uninterrupted, error-free or free of viruses.

When you apply for a merchant account or terminal, you must give us complete and accurate information and tell us promptly if it changes. Every application is subject to our checks and to approval by our acquiring partners. We may ask for more information, and we may decline an application without giving reasons. Submitting an application, or receiving a contract to sign, does not mean it has been approved.

You can pay some of our charges online, including subscriptions and monthly terminal rental. Card payments are processed by our payment processor, Stripe, on its secure checkout page.

• Before you confirm, the payment page shows the amount, currency, how often you will be charged and whether GST is included. By confirming, you authorise us to charge your card that amount at that frequency until you cancel or, for a fixed term, until the term ends.
• We email you a receipt for each payment. You can cancel a recurring payment at any time using the link in your receipt email or by contacting us. Cancelling stops future charges; it does not refund charges already made or end any minimum term or other obligations in your Agreement.
• If a payment fails, we may try again and may suspend the related service until the amount is paid.
• Recurring charges stay at the amount you authorised. If they need to change, we will tell you in advance, and you can cancel before the new amount applies.
• Rented terminals and other equipment remain our property and must be looked after and returned as set out in your Agreement.

If you think a charge is wrong, please contact us at services@ezybill.co.nz so we can look into it before you raise a dispute with your bank.

Our services are supplied to businesses, for business purposes. Where you acquire our services in trade, you agree that the Consumer Guarantees Act 1993 does not apply, and that sections 9, 12A, 13 and 14(1) of the Fair Trading Act 1986 do not apply, to the extent the law allows, and that this is fair and reasonable. Nothing in these Terms limits any right you have that cannot be excluded by law.

To the extent the law allows:

• we are not liable for any indirect or consequential loss, or for loss of profit, revenue, data or goodwill, arising from your use of this website or our online payment pages;
• our total liability to you under these Terms is limited to the amount you paid us through this website in the 12 months before the claim arose.

Liability for the services themselves is governed by your Agreement.

The content of this website, including text, images, logos and the EzyBill and NexPOS names, belongs to us or our licensors. You may view and print it for your own business use, but you may not copy, change or republish it without our written permission. Other product names and logos on this site belong to their owners.

This website links to websites and services run by others, such as payment and checkout pages. We are not responsible for their content or practices, and their own terms apply when you use them.

Our Privacy Policy explains how we collect and use personal information.

We may update these Terms from time to time by publishing a new version on this page, with its effective date at the top. Changes apply from that date. Changes do not alter a payment you have already authorised without your agreement.

These Terms are governed by New Zealand law, and the courts of New Zealand have exclusive jurisdiction over any dispute about them.
